These terms and conditions apply to text and voice messages sent and received by OrgOrg.
Program Description
OrgOrg offers a text and voice messaging program for the purposes of supporting the On-Call application. Text messages may include notifications when on-call shifts start and end, and messages from users in the same org space. Message Frequency
The message frequency will be variable, based on how frequently a user is scheduled for on-call and how many escalations occur during their shift.
Cost
OrgOrg does not charge any additional fees for the use of the OrgOrg text and voice messaging program. As always, standard message and data rates may apply for any messages sent to users from us and to us from users. If you have any questions about your text or data plan, it is best to contact your wireless provider.
Supported Carriers; Interruption
OrgOrg's text and voice message program works with most mobile device carriers. However, OrgOrg's text and voice message program may not be available on all mobile devices, or through all wireless carriers. OrgOrg uses subprocessors for message delivery, and as such, is limited to the carriers supported by them. Some carriers will convert the SMS into text-to-speech messages via voice calls. OrgOrg may, from time to time, in its discretion and without notice, limit the carriers that support OrgOrg's text and voice message program.
Delivery of information and content to mobile devices may fail due to a variety of circumstances or conditions. OrgOrg's text message program is subject to transmission limitation and/or interruption. OrgOrg shall not be held responsible for failures caused by factors beyond OrgOrg's control, including but not limited to, failures resulting from issues such as:
- Customer's incorrectly configuring the program;
- Customer's own telecommunications, Delivery Service or internet service providers, or mobile notification providers;
- a Force Majeure Event; or
- intentional or accidental filtering of network traffic by national governments, carriers or regulatory bodies. Issues that arise from OrgOrg's suspension or termination of Customer's right to use the Service as allowed or required by the Agreement, Acceptable Use Policy, government or court orders, or other agreements.
Customer responsibilities for Contact Persons
Customer shall
- obtain and maintain consents from each Contact Person to receive messages from the OrgOrg, including without limitation SMS messages (“Messaging”),
- maintain procedures for each Contact Person to opt out of participating in Messaging, and once opted-out, Customer will not re-subscribe a Contact Person to Messaging until Customer has obtained renewed consent from such Contact Person to receive Messaging through the Hosted Services, and
- comply with all applicable law relating to Messaging in its use of the Hosted Services. Customer shall be responsible for compliance with Messaging laws.
Security
Messages sent or received in conjunction with the OrgOrg text and voice message program are sent over networks that are not secure, and outside of the control of OrgOrg. OrgOrg will not be liable for message content generated by a user of OrgOrg. Customers are responsible for ensuring appropriate controls exist to enforce which data is appropriate to send through OrgOrg's on-call program. Abuse
The Customer agrees to use OrgOrg's text and voice messaging platform responsibly and in compliance with all applicable laws and regulations. The Customer shall not use the platform for sending unsolicited messages (spam), engaging in harassing or abusive behavior, or any other activity that could be considered misuse of the service. OrgOrg reserves the right to monitor usage of the platform to ensure compliance with these terms and may take appropriate action, including but not limited to, suspension or termination of service, in the event of any abuse or misuse by the Customer.
Termination
OrgOrg may suspend or terminate the participation in OrgOrg's text and voice message program if OrgOrg believes the customer in breach of these Terms & Conditions. OrgOrg reserves the right to modify or discontinue, temporarily or permanently, all or any part of OrgOrg text and voice message program program, for any reason with or without notice.
Subprocessors
By participating in OrgOrg's text and voice message program, the Customer agrees to also be bound by Twilio's Terms of Service and Twilio's Privacy Notice. See OrgOrg's subprocessors for a complete list.
Limitation of Liability
By participating in OrgOrg's text and voice message program, the Customer agrees to release and hold harmless OrgOrg and its representatives, agents, successors, assigns, employees, officers and directors, from any and all liability, for loss, harm, damage, injury, attorneys's fees, costs or expense whatsoever including without limitation, property damage, personal injury and death that may occur in connection with OrgOrg's text and voice message program, or Customer's use thereof, and for any claims, matters, or disputes based on violation of law or infringement or violation of any rights of any person or entity, including, without limitation, violation of publicity rights, defamation, or invasion of privacy. The OrgOrg text message program is provided as is, with all faults and without warranty of any kind, whether express, implied, written, oral or arising under custom or trade. OrgOrg disclaims all warranties, including, but not limited to, any implied warranties of merchantability, fitness, or a particular purpose and non-infringement. In no event shall OrgOrg be liable to the Customer, or to any third party, for any losses or damages whatsoever arising out of or resulting from OrgOrg's text and voice message program, or Customer's use thereof, regardless of the theory of recovery, including, without limitation, direct, indirect, consequential, incidental or special damages, lost profits, punitive damages, attorney's fees or any damages arising out of or resulting from a statutory or regulatory violation, negligence, gross negligence, strict liability, tort, willful misconduct or fraud, breach of contract or breach of warranty. To the extent this damage waiver is contrary to applicable law, Customer or any third party's maximum recovery for any losses or damages whatsoever arising out of or resulting from OrgOrg's text and voice message program, or Customer's use thereof, regardless of the theory of recovery, is limited to the amount the customer has paid to OrgOrg by customer in the prior one month period prior to the event giving rise to such liability.
